1. Agreement to Terms

By accessing or using the Covey mobile application and website (collectively, the “Platform”), operated by Mito Systems Inc. (“Company,” “we,” “us,” or “our”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree, do not use the Platform.

2. Eligibility

You must be at least 18 years of age to create an account on Covey. By using the Platform, you represent and warrant that you meet this age requirement. The Platform is currently available only in Ontario, Canada. We may expand to additional jurisdictions in the future.

3. User Accounts and Roles

When you register, you must provide accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials.

Covey supports three user roles, each with distinct verification requirements:

Parents must complete identity verification (ID + selfie) and sign a liability waiver. Parents are responsible for providing accurate child profiles including emergency contact information and approved pickup contacts.

Educators must complete identity verification, provide a valid Ontario Vulnerable Sector Check (less than 5 years old), submit professional credentials, complete an annual offence declaration, and provide professional references.

Location Owners must complete identity verification, provide proof of ownership or lease, and maintain valid liability insurance.

4. Bookings and Payments

When you book an activity, you agree to pay the listed price. All payments are processed securely through Stripe. The Company charges a platform fee on each transaction. Refund policies are determined by individual educators and communicated at the time of booking.

Educators receive payouts for completed activities via Stripe Connect, subject to Stripe's standard payout schedule and terms.

5. Educator Responsibilities

Educators are independent service providers, not employees of Mito Systems Inc. Educators are responsible for the content, safety, and delivery of their activities. Educators must maintain current verification documents and immediately report any changes to their eligibility status.

6. Child Safety

The safety of children is our highest priority. All educators must pass background checks including Ontario Vulnerable Sector Checks. Parents must provide accurate emergency contact information and approved pickup contacts for each child. Only individuals on the approved contacts list may pick up a child from an activity.

7. Prohibited Conduct

You agree not to:

Provide false or misleading information during registration or verification; use the Platform for any unlawful purpose; harass, abuse, or harm another user or any child; circumvent or attempt to circumvent the Platform's verification or payment systems; scrape, data-mine, or otherwise extract data from the Platform without permission; or interfere with the Platform's operation or security.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Mito Systems Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Platform. The Company facilitates connections between educators, parents, and location owners but does not directly supervise activities.

9. Intellectual Property

The Platform, including its design, code, content, and branding, is owned by Mito Systems Inc. and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Platform without our prior written consent.

10. Termination

We may suspend or terminate your account at any time for violations of these Terms or for any reason at our sole discretion. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination shall survive.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via the Platform or by email. Your continued use of the Platform after changes constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
